Terms of Use for the Circle of Security Website

Important: Read Carefully

This Terms of Use Agreement (the "Agreement") is a legal agreement between “You” and Circle of Security International, Inc. (“COSI,” “We” or “Us”) for the Website (as such term is defined below).

The Website provides access to resources and training focusing on the early intervention models to increase attachment and security by Glen Cooper, Kent Hoffman, and Bert Powell. Facilitators meeting specific training criteria are able to provide trainings using the Website and are listed within a directory of Registered COS-P Facilitators. The Website may also provide information and links related to other COSI products and services, and third party products and services. The functions that we provide through the Website may be referred to as the “Services.”

By accessing, creating a user account, or otherwise using the Website, You represent to Us that you are at least 18 years old and You agree to be bound by the terms of this Agreement along with the COSI Privacy Policy.

IF YOU DO NOT ACCEPT ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, COSI IS UNWILLING TO LICENSE THE WEBSITE TO YOU, NO LICENSE IS GRANTED AND YOU ARE NOT AUTHORIZED TO VISIT OR USE THE WEBSITE.

1 Software Delivery and Acceptance

Subject to Your agreement to be bound by all terms and conditions of this Agreement, COSI authorizes You to use and access COSI's proprietary Website application, which includes compiled software code, images, music, media, templates, data, a user interface, any documentation accompanying the program, and any updates or supplements of such software and documentation (collectively, the “Website”). The Website is deemed accepted by You when the Website is initially accessed by You.

2 License Terms and Conditions

Subject to all terms and conditions of this Agreement, COSI hereby grants You a nonexclusive, personal, non-transferable, non-assignable, limited license to use and access the Website in accordance with this Agreement and any and all agreements and documents executed by You or delivered by COSI. The Website is licensed to you, not sold, and COSI reserves the right to revoke such license at any time and disable your ability to use the Website for any reason or for no reason.

3 Proprietary Rights

The Website is protected by copyright laws, international copyright treaties, and other intellectual property laws and treaties. All rights in the Website not expressly licensed under this Agreement are reserved to COSI. You shall not reproduce, retransmit, disseminate, sell, publish, broadcast, circulate, rent, lease, sublicense, assign, or otherwise transfer any portion of the Website except as expressly authorized in this Agreement.

No right to use any trademark or trade name of COSI is granted to You hereunder other than the right to display the COSI marks that are placed on the Website and any COSI messages when they are rendered in the Website, in which case such marks may not be altered or removed by You without written approval by COSI.

4 User Content

COSI may allow you to upload or post audio, video, images, text or other content through the Website (“User Content”). You agree that You will not create, share, display, distribute, and/or otherwise use any User Content that is unlawful, defamatory, libelous, slanderous, obscene, violates another's right to privacy or publicity, or infringes any patent, trademark, copyright, trade secret, or other proprietary right. You expressly agree to indemnify COSI for any claims or damages arising out of Your use, creation or posting of such prohibited User Content.

COSI does not have the obligation to, and does not, pre-screen any User Content. However, COSI reserves the right to remove or edit any User Content at any time and without notice to You.

All feedback and other User Content you provide to COSI, whether via the Website or otherwise, shall be deemed to be non-confidential. Subject to COSI's Privacy Policy), COSI shall be free to use such information on an unrestricted basis.

If you are a copyright owner and believe that any User Content infringes upon your copyrights, you may submit a notification to COSI's Designated Agent at: [25 W Main Ave, Ste 440, Spokane, WA 99201]. Pursuant to the Digital Millennium Copyright Act 17 U.S.C. Sec. 512(c)(2), such notification must include:

A description of the copyrighted work that you claim has been infringed; a description of where the alleged infringing material is located; a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; Your contact information (email and telephone number); and a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

5 Third Party Content

The Website may display, include, make available or link to content, data, information, applications, websites or materials from third parties (“Third-Party Content”). COSI is not responsible for the content, accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, efficiency, advertising, terms of use, privacy policy, practices, software code or any other aspect of the Third-Party Content. You are encouraged to read the terms of use and privacy policy of any third-party websites to which you connect when using the Website. COSI disclaims all liability arising from or relating to the Third-Party Content.

Third-Party Content may contain proprietary content, information and material that is protected by applicable intellectual property and other laws, including but not limited to copyright and trademark laws. You may not use such proprietary content, information or materials in any way whatsoever except to use the Website and Services for their intended purposes.

6 Internet Access

Use of the Website and the Services requires an internet connection and may result in charges from your cellular communication or internet service provider. COSI is not responsible for any such charges. COSI is also not liable for any disruption, failure or malfunction of the Internet or other service providers or for any other situation or event that is out of COSI's direct control. COSI IS NOT RESPONSIBLE FOR ANY ACTS OR OMISSIONS OF YOUR CELLULAR COMMUNICATION OR INTERNET SERVICE PROVIDERS, OR UNAVAILABILITY OR ERRORS ASSOCIATED WITH THEIR SYSTEMS OR SERVICES.

7 Restrictions on Use

Unless and to the extent specifically provided otherwise in writing by COSI, you may not:

1. separate any individual component of the Website for use;
2. incorporate any portion of the Website into other software or compile any portion of it in combination with other software;
3. use the Website, or any portion of Website, with any other service or over a network;
4. sell, rent, lease, lend, loan, distribute, assign or sublicense the Website or otherwise transfer any rights to it in whole or in part;
5. modify, reverse engineer, decompile, remove any proprietary notices or disassemble the Website in whole or in part, or create any derivative works from or of the Website, or encourage, assist or authorize any other person to do any of these things; or
6. make copies of or distribute the Website or electronically transfer it or any portion of it from one computer to another or over a network.

We may discontinue some or all of the functionality of the Website or the Services at any time. We may also terminate your right to use the Website at any time, and in such event we may modify it to make it inoperable. You agree to abide by all laws and regulations in effect regarding your use of the Website, including without limitation, all driving laws and laws relating to copyright-protected content. You may not authorize or assist any third party to do any of the things prohibited in this paragraph.

8 Collection and Use of Data

You acknowledge that the Website automatically collects information, data and statistics relating to your use of the Website, and compiles such information, data and statistics. COSI reserves the right to use such information, data and statistics in the course of COSI's business, and you hereby agree to such use. Unless specifically agreed in writing by COSI, COSI is not responsible for, and hereby disclaims all warranties relating to, the storage of any data for use with the Website.

COSI has no duty to resist any effort by law enforcement officials to obtain information relating to You and your use of the Website and Services. COSI reserves the right to disclose any information necessary to satisfy any such law enforcement requests, warrants, subpoenas or court orders.

9 Login Credentials

You shall not share Your user account information with others or allow third parties to use Your login credentials to the Website at any time or for any reason unless otherwise allowed in writing by COSI. You warrant, and COSI may assume and rely on the assumption, that any and all activity and use of the Website under Your user account is done by You. You are solely responsible for maintaining the security of, for example, your username, password, and all other user account information, and You agree that COSI will not be liable for any loss or damages resulting from use of your account by others.

10 Disclaimers; Limitations of Liability

COSI DOES NOT PROMISE THAT THE WEBSITE OR THE SERVICES OR ANY FUNCTIONALITY THEREOF WILL BE ERROR-FREE OR UNINTERRRUPTED OR THAT YOUR USE OF THE WEBSITE OR THE SERVICES WILL PROVIDE SPECIFIC RESULTS. THE WEBSITE AND THE SERVICES ARE PROVIDED BY COSI “AS-IS” AND “AS-AVAILABLE” WITHOUT ANY OTHER WARRANTY OR REPRESENTATION OF ANY KIND. COSI CANNOT ENSURE THAT THE WEBSITE OR ANY FILES OR OTHER DATA YOU DOWNLOAD IN RELATION TO THE WEBSITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. YOUR USE OF THE WEBSITE AND SERVICES, AND THE RESULTS AND PERFORMANCE ACHIEVED USING THE WEBSITE AND SERVICES, IS AT YOUR OWN RISK. COSI DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE WITH RESPECT TO THE WEBSITE AND THE SERVICES. THE ENTIRE RISK AS TO THE QUALITY, OR ARISING OUT OF THE USE OR PERFORMANCE OF THE WEBSITE OR THE SERVICES REMAINS WITH YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COSI BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, PUNITIVE, INCIDENTAL OR SPECIAL DAMAGES WHATSOEVER (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, ANY PROVISION OF OR FAILURE TO PROVIDE SUPPORT, OR OTHERWISE UNDER OR IN CONNECTION WITH THIS AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF COSI, AND EVEN IF COSI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If, notwithstanding the other provisions of this Agreement, COSI is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Website or the Services, COSI's liability shall in no event exceed the greater of (1) the total of any subscription or similar fees with respect to the Website or the Services paid in the six months prior to the date of the initial claim made against COSI, or (2) US$200.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

11 Termination

Without limiting its rights and remedies, if You fail to comply with the terms and conditions of this Agreement, COSI may, in its sole discretion, terminate this Agreement upon any such failure. Upon termination of this Agreement, You must promptly cease all use of the Website and discontinue exercising all license rights granted by this Agreement. Sections 3, 4, 9, and 11 through 17 of this Agreement will survive any termination of this Agreement.

12 Dispute Resolution; Choice of Law

This Agreement shall be construed and controlled by the laws of the State of Washington without reference to its choice of law provisions, and Customer consents to exclusive jurisdiction and venue in the federal courts sitting in Spokane, Washington, unless no federal jurisdiction exists, in which case Customer consents to exclusive jurisdiction and venue in the Applicable Washington State Court located in Spokane, Washington. You waive all defenses of lack of personal jurisdiction and forumnon conveniens.

13 Export Law Compliance

You acknowledge that Website is of U.S. origin. You agree to comply with all Applicable international and national laws that apply to the Website, including all Applicable U.S. export-control laws and regulations, as well as any end-user, end-use and destination restrictions issued by U.S. and other governments.

14 Other Agreements

This Agreement constitutes an individual consent by You to be bound by the terms of this Agreement and is the entire agreement between You and COSI with regard to Your use of the Website and Services, and any and all other written or oral agreements or understandings previously existing between You and COSI with respect to such use are hereby superseded and cancelled. This Agreement is not intended to supersede or replace any other agreements entered into with COSI by You or Your company. To the extent there are any conflicts or inconsistencies between this Agreement and any other agreement, policy or documentation, the Rental Contract shall control, then this Agreement, then the website terms of use.

15 Void Where Prohibited

Although the Website and the Services is accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Website are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. COSI reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Website is void where prohibited. If you choose to access the Website from outside the United States, you do so on your own initiative, and you are solely responsible for complying with Applicable local laws.

16 Miscellaneous

If any of the provisions of this Agreement are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of this Agreement, so that this Agreement shall remain in full force and effect. COSI's failure to insist on or enforce strict performance of this Agreement shall not be construed as a waiver by COSI of any provision or any right it has to enforce this Agreement, nor shall any course of conduct between COSI and you or any other party be deemed to modify any provision of this Agreement. This Agreement shall not be interpreted or construed to confer any rights or remedies on any third parties.

myCOS Premium Membership™

Terms of Use

These (“Premium Membership Terms”) are incorporated into (as Section 17 - myCOS Premium Membership) and made part of the Circle of Security International Terms of Use Agreement (the “Agreement”). Capitalized terms not otherwise defined herein shall have the meanings assigned to them in the Agreement.

The myCOS Premium Membership™ (“Premium Membership” )is an optional subscription service offered by COSI that provides users with access to exclusive educational resources, member benefits, and online community features (collectively, the “Premium Services”).

By purchasing, accessing, or using any Premium Services, You acknowledge that you have read, understand and agree to be bound by these Premium Membership Terms and the Agreement. In the event of any conflict between these Premium Membership Terms and the Agreement, these Premium Membership Terms shall control solely with response to Your use of the Premium Services.

17.1 Purpose of Premium Membership

Premium Membership is designed to support the continued professional growth of Circle of Security practitioners by providing access to exclusive educational content, learning opportunities, community engagement, and other membership benefits offered by COSI from time to time.

Premium Membership supplements, but does not replace, formal Circle of Security training, certification, coaching, mentoring, consultation, clinical supervision, legal advice, medical advice, or mental health services.

COSI may modify, expand, replace, or discontinue Premium Services at any time in its sole discretion.

17.2 Membership Access

Access to Premium Services is available only to individuals who maintain an active myCOS Premium Membership and otherwise satisfy COSI's eligibility requirements.

Premium Membership is a revocable license and membership benefit. It does not create any ownership interest or vested right to continue access to Premium Services.

Upon expiration, cancellation, suspension or termination of Premium Membership, access to Premium Services will automatically terminate unless otherwise determined by COSI.

17.3 Individual Membership; Account Sharing Prohibited

Your Premium Membership is licensed solely to You as the individual account holder. Unless expressly authorized in writing by COSI, Premium Membership may not be shared with, transferred to, or used by any other individual, organization, employer, agency, institution or other entity.

You agree that You will not:

• Permit another individual to access Premium Services using Your login credentials;
• Share Your username, password, or other account information;
• Allow multiple individuals to use a single Premium Membership account;
• Purchase a Premium Membership on behalf of a group or organization for shared use unless expressly authorized by COSI;
• Reproduce, distribute, copy, record, or otherwise make Premium Services available to individuals who do not maintain their own active Premium Membership.

Each individual accessing Premium Services must maintain their own active Premium Membership unless otherwise expressly permitted by COSI under a separate written agreement.

COSI reserves the right to suspend or terminate Premium Membership, without refund where permitted by applicable law, if COSI reasonably believes an account being shared or otherwise used in violation of these Premium Membership Terms.

17.4 Billing and Membership Policies

Premium Membership billing, subscription renewals, cancellations, refunds, and other membership-related payment policies are governed by COSI's Premium Membership Billing and Cancellation Policy, which is incorporated into these Premium Membership Terms by reference.

By purchasing or renewing Premium Membership, You acknowledge that You have reviewed and agree to that policy.

17.5 Community Features

Certain Premium Services may include the Community Forum ("Forum"), networking opportunities, Office Hours, live events, or other interactive features ("Community Features").

Participation in Community Features is voluntary.

COSI does not endorse, verify or guarantee the accuracy of statements, opinions, recommendations, or other content shared by members.

User Content posted within Community Features reflects the views of the individual user and not necessarily those of COSI.

17.6 Community Standards and Rules

When participating in any Community Feature, You agree to conduct Yourself in a respectful, professional and collaborative manner consistent with the mission and values of the Circle of Security International.

Without limiting the Agreement, You agree to the following 9 Rules that govern all member interactions in any Community Feature:

1. Connect: Ask, Don’t Sell. No self-promotion, self program links, social handles, or solicitation of any kind (services, business, or events).
2. No external links. Do not post links to blogs, articles, business pages, or affiliate offers.
3. Post directly to the group. No sharing of content from other social media pages.
4. Stay on topic. Keep posts focused on the community’s shared purpose: connection, growth, and peer support.
5. No private messaging. All communication stays within the group. Report any direct message solicitation.
6. Politics-free zone. No political posts, comments, or suggestions.
7. Be Kind. No hate speech, bullying, or degrading comments of ANY kind.
8. You are not alone. Share wins and challenges openly with other members. The community is here for both.
9. Confidentiality. Do not share screenshots, recordings, or any posts or discussions outside the forum. What is shared in the Forum stays in the Forum. This protects the safety and trust of every member.

Community Features, specifically the Forum, is provided for professional networking. COSI assumes no liability for user content and reserves the right to remove any posts. COSI reserves the right to establish additional community guidelines for specific Premium Services.

17.7 Professional Responsibility

Premium Services are intended solely for purposes and professional peer discussion. Nothing contained within Premium Services constitutes professional supervision, consultation, legal advice, medical advice, psychological treatment, or other professional services.

You remain solely responsible for Your professional judgment, licensing obligations, ethical responsibilities, and compliance with applicable laws.

17.8 Confidentiality

The effectiveness of the Forum depends on mutual trust and respect among participants.

Accordingly, You agree that You will not:

• Share screenshots or recordings intended exclusively for Premium Members and outside any Forum;
• Reproduce or redistribute Premium discussions outside Premium Services;
• Disclose another member's identity or participation without permission; or
• Post or disclose confidential or identifying information relating to clients, patients, students, families, organizations or other third parties.

Although COSI takes reasonable measures to maintain privacy of Premium Services, COSI cannot guarantee that information shared by members will remain confidential. You remain solely responsible for determining what information You choose to share or disclose.

17.9 User Content

User Content submitted through Premium Services remains subject to the User Content provisions contained in the Agreement.

By submitting through Premium Services, You represent and warrant that:

• You own, possess, or otherwise have all necessary rights to submit such content;
• The content does not violate any law or third-party rights;
• The content complies with these Premium Membership Terms and the Agreement; and
• Confidential information has been removed where applicable.

You retain ownership of the original content You create. However, by posting User Content within the Forum, You grant COSI the rights described in the Agreement as necessary to host, display, moderate, administer, improve, and operate the Forum.

17.10 Artificial Intelligence (AI) and Moderation

To improve the safety, functionality, and educational value of Premium Services, COSI may utilize automated technologies, including artificial intelligence, to:

• Identify potential policy violations;
• Detect spam or inappropriate content;
• Assist in moderators in reviewing reported content;
• Identify educational themes, trends and frequently asked questions (FAQ's);
• Improve member resources, educational offerings, and Community Feature functionality; and
• Improve future Premium Services and educational offerings.

AI-assisted moderation supplements, but does not replace, human review.

17.11 Moderation

COSI reserves the right, but assumes no obligation, to monitor Premium Services.

COSI may, in its sole discretion and without prior notice:

• Remove User Content;
• Edit or relocate discussions;
• Close discussion threads;
• Restrict participation;
• Suspend or terminate Community Features or Premium Services; or
• Take any other action reasonably necessary to protect Premium Members, Premium Services, or COSI.

17.12 Reporting Concerns

Users are encouraged to report content or conduct believed to violate these Premium Membership Terms.

Reports may be submitted to: member@circleofsecurityinternational.com

Submission of a report does not obligate COSI to investigate, remove content, or take any specific action.

17.13 Intellectual Property

Excluding User Content owned and submitted by users, all Premium Services, including: branding, trademarks, logos, graphics, educational materials, and other content remain the exclusive property of COSI or its licensors.

Premium Services are licensed for the personal use of Premium Members and may not be: copied, redistributed, publicly displayed, recorded, or shared except as expressly authorized by COSI or as protected by applicable laws.

Nothing contained in these Forum Terms grants You own any ownership interest in COSI intellectual property.

17.14 Disclaimer

Premium Services are provided for educational purposes and member engagement.

COSI does not verify the accuracy of, completeness, or reliability of User Content and makes no representations or warranties regarding information shared by users.

Premium Services are provided on an “As Is” and “As Available” basis, subject to the disclaimer provisions contained in the Agreement.

17.15 Limitation of Liability

Without limiting the Agreement, COSI shall not be responsible for or liable for:

• User Content submitted by Members;
• Reliance upon discussions or recommendations by Members;
• Professional decisions made by Members;
• Interaction between Members;
• Temporary interruptions of Community Feature availability; or
• Unauthorized disclosure of information by other Members.

To the extent permitted by law, YOur use of the Premium Services are at Your sole risk.

17.16 Suspension and Termination

In addition to the rights set form in the Agreement, COSI may suspend or terminate Premium Membership or access to any Premium Service including any or all Community Features, if in COSI’s sole discretion, You:

• Violate these Premium Membership Terms;
• Violate the Agreement;
• Repeatedly disregard Community Standards;
• Compromise the privacy or safety of other members; or
• Engage in conduct inconsistent with the mission or values of COSI.

17.17 Amendments

COSI reserves the right to modify these Premium Membership Terms at any time.

Continued use of the Premium Services following publication of revised Premium Membership Terms constitutes acceptance of the revised terms.
